Internet Company in Haifa is looking for a Company Secretary.

Main responsibilities
· Guiding the chairman and board on their responsibilities under the rules and regulations to which they are subject and on how those responsibilities should be discharged;
· Ensuring that the Company complies with relevant legislation and regulations, and keeps board members informed of their legal responsibilities;
· Maintaining company records and statutory registers;
·  Organizing, preparing agendas for and taking minutes of board meetings and annual general meetings;
·  Ensuring that decisions of the board of directors are implemented;
· Dealing with correspondence, collating information and writing reports, ensuring decisions made are communicated to the relevant company stakeholders;
· Monitoring changes in relevant legislation and the regulatory environment and taking appropriate action;
· Liaising with external regulators and advisers, such as lawyers and auditors;
· Responsible for the preparation of Annual Report and Accounts, trading updates and results RNSs and investor presentations;
· Developing and overseeing the systems that ensure the company complies with all applicable codes, in addition to its legal and statutory requirements;
· Negotiations with legal advisors and other professional consulting
· Communication with investors;
· Responsible for monthly Board updates;
·Intellectual property Responsible for registration and tracking of trademarks in different jurisdictions and for the company’s response with respect to violations of such trademarks.

· L.L.B from top leading universities;
· A lawyer with experience of 3-5 years within the corporate field;
· Past experience from one of the top leading law firms;
· Experience within the London main market;
· Native level in English;
· Attention to detail and a well-organized approach to work;
· Interpersonal skills;
· Integrity and discretion when handling confidential information;
· Excellent organisation and time management.
· Experience within the London main market;
· Experience with the UK corporate Governance Code;
· Experience with ESG regulation.
